The
2006 Companies Act came into full force on 1st October 2009. Major
changes in many areas of corporate compliance have been
implemented. The biggest upheaval is undoubtedly the wholesale
replacement of the forms and statutory documents a company is
required to file whenever a change occurs in its structure -
directors, secretary, addresses, Capital, shareholders etc.
Most of the new forms require a lot more information than before and
several new ones have been introduced. And the annual return will
require all this information and any changes since the previous
return.
One thing that has not yet changed is the annual requirement to file financial accounts. This has always been the area of greatest concern and pressure for accountants and others who are responsible, primarily because of the penalties imposed if not filed on time. Since February 2009, these penalties have increased dramatically and the old ten months deadline (for private companies) has now been reduced to nine months. Even for one company, accurately maintaining all this data, getting details of the changes, annual returns and accounts to Companies House within strict deadlines can often be a headache. For statutory accounts you can easily and quickly import accounts data from virtually all accounting software packages and spreadsheets or input the data directly. When you make any changes TDF 'insists' that you click the e-file button so the appropriate "electronic" form is submitted to Companies House. And it alerts you when e-filing annual returns, should any of the large amount of data being submitted be incomplete.
